Terms of Use

These Terms of Use ("Terms") are an agreement between you and Cardinal Glass Industries, Inc., 775 Prairie Center Drive, Eden Prairie, Minnesota 55344 ("Cardinal," "we," "us"). They govern your use of the Cardinal Training website at cardinaltraining.io and the Cardinal AIA mobile app for iOS and Android (together, the "Service").

By creating an account, checking the acceptance box, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If we change these Terms in a way that requires your agreement, we will ask you to accept the new version when you next sign in.

1. Eligibility and accounts

• You must be at least 18 years old and able to enter a binding contract.
• The Service is for individual professional use. One person, one account. You may not share your credentials or let anyone else use your account, and you may not use another person's account.
• You must give accurate information and keep it current, including your legal name as it should appear on certificates and, if you are an AIA member, your own AIA member number.
• You are responsible for everything that happens under your account. Keep your password confidential, consider enabling two factor authentication, and tell us at support@cardinaltraining.io right away if you suspect unauthorized use. You can review and sign out other sessions from your account settings.
• You must verify your email address before you can take courses or tests.

2. The Service

Cardinal Training offers continuing education for architects, builders, and glazing professionals, including:

• On Demand courses delivered as streaming video or PDF, with a test and a certificate;
• Live Events delivered in person or online by invitation, with attendance confirmation and a certificate;
• The Cardinal AIA app, which mirrors the Site and lets you download course videos for offline viewing.

The Service is free of charge. We may add, change, suspend, or discontinue any course, feature, or the Service itself at any time. We try to keep the Service available but do not promise uninterrupted access. Courses may be retired or updated; a certificate you have already earned remains valid.

3. Continuing education credit and AIA reporting

• Cardinal is an AIA Continuing Education System (CES) Approved Provider, Provider Number 10121105. Courses that display AIA credit are registered with AIA CES for the Learning Units (LU) shown, including Health, Safety, and Welfare (LU|HSW) where indicated.
• AIA members. If you have entered your AIA member number and you complete a course and pass its test, or confirm attendance at a live event, Cardinal will submit the completion to AIA CES on your behalf. Submission is done by Cardinal staff through AIA's provider portal and may take several weeks to appear in your AIA transcript. AIA's own rules determine whether and how a completion is credited.
• Your member number. You represent that any AIA member number you enter is your own. Entering someone else's number, or a number you are not entitled to use, is grounds for termination and may result in AIA rejecting or removing credit. Once a certificate is issued on a member number you cannot change it yourself; contact us to correct an error.
• Non-members. If you are not an AIA member or have no member number on file, we report nothing to AIA. You receive the same certificate and may submit it to your state licensing board or other body yourself.
• No guarantee of acceptance. Whether a certificate satisfies the requirements of AIA, a state licensing board, or any other authority depends on that body's rules, which change. We do not guarantee that any course will be accepted for credit by any authority other than as registered with AIA CES.
• Records. You are responsible for keeping your own copies of certificates. We keep completion records for six years to meet AIA provider requirements, even if you close your account.

4. Honest completion

Continuing education credit depends on you actually doing the work. You agree that you will:

• personally watch or read the course content and personally take any test, without help from another person or from an AI tool;
• confirm attendance at a live event only if you attended it;
• not share test questions or answers, and not attempt to obtain them from others;
• not use software, scripts, or other means to skip content, fake watch time, or otherwise game progress tracking.

If we determine that a completion was not earned honestly, we may revoke the certificate, withdraw or correct the AIA submission, notify AIA, and suspend or terminate your account.

5. Certificates

Certificates are issued in the name on your account to the individual who completed the course. Each carries a unique certificate number and QR code that anyone can use to verify it on the Site; the verification page shows the recipient name, course, credits, issue date, instructor, provider, and a masked member number. You may download, print, and share your certificate for legitimate purposes. You may not alter a certificate, create a certificate you did not earn, or present another person's certificate as your own. We may revoke a certificate issued in error or in violation of these Terms and will tell you if we do.

6. Live events

Live events are by invitation. Responding to an invitation is a request to attend; we may limit capacity, change the date, venue, or presenter, or cancel an event, and we will notify invitees by email. Please keep your RSVP current so we can plan catering and space. Events at venues we do not control are subject to the venue's rules. Meal preference and dietary information you give us is used only to plan the event.

7. Intellectual property

• Cardinal content. All course content, videos, PDFs, tests, certificates, text, graphics, logos, software, and the design of the Service are owned by Cardinal or its licensors and protected by copyright, trademark, and other laws. "Cardinal," "Cardinal Glass," "Cardinal Training," and the Cardinal logos are trademarks of Cardinal Glass Industries, Inc. The AIA CES marks are used under license from the American Institute of Architects.
• Your license. We grant you a personal, limited, non-exclusive, non-sublicensable, non-transferable, revocable license to access and view course content through the Service for your own professional education. Downloads of course videos are permitted only through the download feature of the App, for offline viewing within the App while you remain enrolled.
• Restrictions. Except as the Service expressly allows, you may not copy, record, screen capture, download, extract, redistribute, publicly display, sell, rent, modify, or create derivative works from any course content; use it to train an AI model; remove or alter any copyright or trademark notice; or use any robot, scraper, or automated means to access the Service.
• Feedback. If you send us suggestions, we may use them without obligation to you.

8. Your content

You keep ownership of the content you submit, such as your profile photo, bio, course notes, and support messages. You grant Cardinal a worldwide, fully transferable and sublicensable, royalty-free license to store, display, and process that content as needed to operate, secure, and improve the Service and to comply with law. You are responsible for your content and confirm that you have the right to submit it and that it does not infringe anyone's rights or contain anything unlawful, offensive, or misleading. We may remove content that violates these Terms.

Instructors who present courses for Cardinal do so as Cardinal employees or contractors. Their names, titles, photos, and signatures appear on course pages and certificates as part of Cardinal's content.

9. Acceptable use

You agree not to:

• break any law or infringe anyone's rights while using the Service;
• give false information, impersonate anyone, or misrepresent your professional status, employer, or AIA membership;
• probe, scan, or test the vulnerability of the Service, bypass any security or access control, or interfere with the Service or other users;
• upload malicious code, send spam, or harvest other users' information;
• use the Service to compete with Cardinal or to build a similar product;
• access the Service through any means other than the Site, the App, and interfaces we provide.

We may monitor use of the Service, rate limit requests, block IP addresses, and take any other steps we deem appropriate to protect the security and integrity of the Service, Cardinal’s business, Cardinal’s property, or any individual.

10. Mobile app

• The App is licensed, not sold, to you for use on devices you own or control, subject to these Terms and the rules of the Apple App Store or Google Play from which you obtained it.
• Apple and Google are not parties to these Terms, have no obligation to provide maintenance or support, and are not responsible for the App, its content, or any claim relating to it. Apple and its subsidiaries are third party beneficiaries of these Terms with respect to the iOS App and may enforce them against you. You represent that you are not in a country subject to a U.S. government embargo or on any U.S. government list of prohibited parties.
• The App requests camera, photo, notification, and storage permissions only for the features that need them, and you may decline or revoke them in device settings. Your mobile carrier's data charges apply.
• Offline downloads are stored inside the App's private storage, are tied to your account and enrollment, and may expire or be removed when you sign out, unenroll, delete the App, or a course is retired.

11. Communications

By creating an account you agree to receive transactional emails and, if you enable them, push notifications about your account, security, courses, tests, certificates, and events. These are part of the Service and cannot be turned off while your account is active. Marketing email from Cardinal is sent only if you opt in and you may unsubscribe at any time.

12. Privacy

Our Privacy Policy explains how we collect, use, and share personal information, including analytics on the Site and in the App, what we report to AIA, and how to access or delete your data. It forms part of these Terms.

13. Suspension and termination

You may delete your account at any time from account settings. We may suspend or terminate your account, or block access, if you violate these Terms, if we suspect fraud or dishonest completion, if required by law, or if we discontinue the Service. On termination your license to use the Service ends and your access to course content and offline downloads stops. Certificates already earned remain valid unless revoked under Section 4 or 5, and we keep the records described in Section 3 and the Privacy Policy. Sections 3 through 5, 7, 8, and 14 through 19 survive termination.

14. Disclaimers

Course content is provided for educational purposes only. It is not engineering, architectural, code compliance, safety, legal, or other professional advice, and it does not replace the specifications, installation instructions, warranties, or technical documentation Cardinal publishes for its products. Product information in a course may become outdated. You must apply your own professional judgment and applicable codes and standards in any project.

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR FREE OPERATION. CARDINAL DOES NOT WARRANT THAT ANY COURSE WILL BE ACCEPTED FOR CREDIT BY ANY LICENSING BOARD OR PROFESSIONAL BODY OTHER THAN AS REGISTERED WITH AIA CES. Some jurisdictions do not allow exclusion of implied warranties, so some of these exclusions may not apply to you.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CARDINAL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, INSTRUCTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST CREDITS, LICENSURE CONSEQUENCES, OR LOSS OF DATA, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. BECAUSE THE SERVICE IS FREE, CARDINAL'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE FEES PAID BY YOU TO CARDINAL FOR USE OF THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENTS GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100). These limits do not apply to liability that cannot be limited by law, including for gross negligence, willful misconduct, or fraud.

16. Indemnification

You will defend, indemnify, and hold harmless Cardinal and its affiliates, officers, employees, and agents from any claim, loss, or expense, including reasonable attorneys' fees, arising from your content, your violation of these Terms, your dishonest completion of a course, your misuse of an AIA member number, or your violation of any law or third party right.

17. Copyright complaints

If you believe content on the Service infringes your copyright, send a notice under the Digital Millennium Copyright Act to our designated agent: Cardinal Glass Industries, Inc., Attn: Copyright Agent, 775 Prairie Center Drive, Eden Prairie, MN 55344, legal@cardinaltraining.io. Include a description of the work, the location of the material, your contact information, a statement of good faith belief, a statement under penalty of perjury that you are authorized to act, and your physical or electronic signature. We will remove infringing material and may terminate repeat infringers.

18. Governing law and disputes

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law rules. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Hennepin County, Minnesota, and you consent to their personal jurisdiction. TO THE EXTENT PERMITTED BY LAW, YOU AND CARDINAL EACH WAIVE THE RIGHT TO A JURY TRIAL AND AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Before filing a claim, you are required to contact legal@cardinaltraining.io to try to resolve it informally. Nothing in this section prevents either party from seeking injunctive relief to protect intellectual property.

19. Changes to these Terms

We may update these Terms. The current version, with its effective date, is always available on the Site and in the App. For material changes we will notify account holders by email or in-product notice before the change takes effect and may require you to accept the new version at your next sign in. Continued use after the effective date means you accept the updated Terms.

20. General

These Terms and the Privacy Policy are the entire agreement between you and Cardinal regarding the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; Cardinal may assign them freely to an affiliate or successor. Cardinal is not liable for delays or failures caused by events beyond its reasonable control. Notices to you may be sent to your account email. Notices to Cardinal go to legal@cardinaltraining.io or the postal address above.
